Welcome to the DefenderShield Shopify Collabs Affiliate Program (the "Program"). These Terms & Conditions ("Agreement") govern your participation as an affiliate or influencer partner. By applying to or participating in the Program, you agree to be bound by this Agreement in its entirety. Acceptance of these terms includes being added to our email newsletter subscriber list, which provides access to DefenderShield sales, product updates, and content inspiration..

DefenderShield ("DefenderShield," "we," or "us") reserves the right to update these terms at any time, and will send out a notification of an update. Continued participation in the Program constitutes acceptance of any revised terms.

Definitions

The following are the terms used throughout this document and their meaning:

• "We", "us", or "our" refers to DefenderShield®, their products and their website.
• "You" or "your" refers to the Affiliate.
• "Our website" refers to DefenderShield® properties located at www.defendershield.com.
• "Your website" refers to any websites that you will link to our website.
• "Program" refers to the DefenderShield® Affiliate Program.

1. Eligibility & Enrollment

To participate in the DefenderShield Shopify Collabs Affiliate Program, you must:

• Be at least 18 years of age.
• Have an active and authentic digital presence (social media account, YouTube channel, podcast, blog, newsletter, or similar owned channel) or be a practitioner with a patient or client base.
• Comply with all applicable local, state, and federal laws, including FTC disclosure requirements.
• Maintain account information that is accurate and up to date, including websites or social accounts.

DefenderShield reserves the right to accept or reject any application at its sole discretion and to terminate any affiliate relationship at any time.

When your application is received, we will review its content including your website and notify you of your acceptance or rejection into our Program. The application review is typically quick, often within 48 to 72 hours from receipt. If approved, you will receive an email from no-reply@shopify.com with a link to your Shopify Collabs account. For follow-up questions, contact media@defendershield.com.

Common reasons an application may be denied:

1. You did not provide a relevant and specific platform for sharing your affiliate link. This must be an active website, social media account, or for word-of-mouth referrals, a physical office or proof of an environment where you will be physically presenting an affiliate code.
2. You did not appropriately answer all fields of the application.
3. The platform you listed is not relevant enough, high-quality, or wide-reaching enough to be considered as an approved affiliate of DefenderShield.

2. Affiliate Responsibilities

2.1 Accurate Representation

Affiliates must represent DefenderShield products honestly and accurately. You may not make false, misleading, or unsubstantiated claims about our products, including claims related to health outcomes, scientific effectiveness, or product specifications beyond what is published in DefenderShield's official materials.

2.2 Brand Guidelines

All promotional content must:

• Be consistent with DefenderShield's brand values and messaging guidelines.
• Not include offensive, discriminatory, defamatory, or otherwise objectionable content.
• Not disparage DefenderShield or its competitors in a false or misleading manner.

3. Affiliate Links & Tracking

Each affiliate will be issued a unique tracking link through the Shopify Collabs platform. Commissions are earned only when purchases are completed through your assigned affiliate link, up to 30 days after a user clicks the link. Last-click attribution ensures that only one commission gets paid out for an order, to the affiliate whose link was clicked or whose code was used last.

• You are responsible for ensuring your affiliate links are properly placed and functioning in your content.
• Manipulating clicks, referrals, or transactions in any artificial way (including self-referrals) is strictly prohibited.
• DefenderShield is not responsible for broken links, tracking failures due to ad blockers, or lost sales caused by affiliate misuse of links.
• Affiliate links may not be shortened or disguised in a way that obscures the nature of the link without prior approval.

When accepted into the Program, you will additionally abide by the following:

1. You will not participate in cookie stuffing, pop-ups, or have false or misleading links. There will be no masking of the referring URL information; always present the page from where the click originates.
2. There will be no redirects designed to give the appearance that a click originated from a domain it did not. If such violations are found, your current and past commissions will be voided or your commission level will be set to 0%.
3. Affiliates are not eligible for commissions on purchases made through your own affiliate link. If special circumstances apply, please discuss with us.
4. Framing our website or creating the impression that your website is our website in any manner is prohibited.
5. You may only use Affiliate linking code obtained from the affiliate interface without manipulation.

4. Commission Structure & Payments

4.1 Commission Rates

Commission rates are set at the time of enrollment and communicated through the Shopify Collabs platform. DefenderShield reserves the right to modify commission rates with reasonable notice; however, any changes will not impact commissions already earned on completed transactions.

Commissions are calculated as a percentage of online net DefenderShield® sales, after applying discounts and before adding taxes and applicable shipping payments, including shipping insurance.

4.2 Commission Eligibility

Commissions are only earned on:

• Completed purchases made up to 30 days after clicking your unique affiliate link.
• Orders that are not subsequently returned, cancelled, or charged back.
• Purchases by customers who clicked your link or used your code last (last-click attribution).
• The first purchase of a subscription order, not recurring orders.

4.3 Payment Terms

Commissions become available for payout 45 days after the sale to account for potential returns, refunds, and policy violations. Payments are sent to your designated payment method on file.

Currently, there is no minimum payout threshold, though we reserve the right to implement one in the future. DefenderShield reserves the right to withhold payment or place pending commissions on hold in cases of suspected fraud, policy violations, or pending dispute resolution.

4.4 General Compliance & Commission Forfeiture

Any violation of this Agreement, including but not limited to coupon code misuse, fraudulent activity, unauthorized paid advertising, or breach of brand guidelines, may result in:

• Immediate forfeiture of unpaid pending commissions.
• Deactivation of affiliate links and/or codes.
• Removal from the DefenderShield Affiliate Program.
• Legal action where applicable.

5. Coupon Codes or Links for Influencers

All affiliates in Collabs have a personalized affiliate link and a personalized affiliate code. The code does NOT automatically apply a discount. It will simply track order credit if used in the coupon field at checkout. DefenderShield may issue personalized coupons to qualifying affiliates and influencers that apply automatically to their personalized affiliate link and code. By accepting a coupon, the influencer or affiliate agrees to all terms in this Section and in Section 4.4.

5.1 Eligibility for Coupon Codes/Links

Coupon codes/links are not automatically issued to all affiliates. To be eligible:

• Long-term coupon links will only be approved for podcasters and influencers or affiliates who have generated a minimum of 4 sales in the last 6 months through the Program.
• Short-term coupon codes will only be approved for qualifying high-traffic affiliates with a planned promotional campaign, and will be active for a set period of 3 months from campaign publishing date.
• Coupons are issued only upon request via the Shopify Collabs platform and are tied to the influencer's affiliate account for tracking purposes.
• DefenderShield reserves the right to approve or deny any coupon request at its sole discretion.

5.2 Permitted Use of Coupons

To ensure automatic discount application and prevent account deactivation due to unauthorized code distribution, affiliates are strongly encouraged to prioritize links over manual codes. Coupon codes and links may only be shared directly with the influencer's own audience through their owned and operated channels, including:

• Social media accounts (Instagram, TikTok, Facebook, X/Twitter, etc.)
• YouTube channels (description only, not in video itself)
• Podcasts (description only, not in audio recording)
• Email newsletters
• Personal websites or blogs
• In person referrals to clients or patients

Codes must be presented in a context where the affiliate is actively promoting DefenderShield to their genuine audience.

5.3 Prohibited Use of Coupons

Coupon codes cannot be combined with other DefenderShield promotions unless explicitly stated. Affiliates are responsible for complying with all applicable advertising laws and regulations, including FTC disclosure requirements, and must clearly disclose their affiliate relationship in all promotional content.

5.4 Monitoring & Enforcement

DefenderShield actively monitors coupon code redemption patterns for signs of misuse, including unusual redemption volumes, redemptions from unexpected geographic regions, or patterns consistent with coupon aggregator traffic.

• DefenderShield reserves the right to deactivate any coupon code at any time, without prior notice, if misuse is detected or suspected.
• Violations of this Section will result in commission forfeiture on affected transactions, permanent deactivation of the influencer's coupon code, and/or removal from the affiliate program pursuant to Section 4.4.
• DefenderShield's determination of misuse is final.

6. PPC Guidelines

As a Program Affiliate participating in PPC (Pay-Per-Click) advertising, the following guidelines must be met:

1. Bidding or acquiring any of our trademarked terms, including any variations or misspellings thereof, for search or content-based campaigns on Google, Bing, MSN, Yahoo, or any other network is prohibited.
2. You may not sequence our trademark terms with any other keyword (e.g., "defendershield coupons," "defendershield discount codes").
3. Trademarked & prohibited terms include, but are not limited to: DefenderShield®, defendershield, defender shield, defendershield.com, wwwdefendershield.com, wwwdefendershieldcom.

It is your responsibility to exclude our trademark terms from your campaigns and add them as negative keywords. Penalty actions will result in forfeiture of all commissions for a minimum of the past 30 days and your commission will be set to 0% without warning.

7. Website Restrictions

The following are Affiliate website restrictions:

1. Your content will not be defamatory, obscene, harmful to minors, threatening, harassing, or display nudity, pornography, or sexually explicit materials.
2. You will not employ programs, software, or other technology that interferes with traffic flow or attempts to intercept, divert, or redirect Internet traffic, or that potentially enables the diversion of Affiliate commissions from another website.
3. There will be no infringement on our or any other person's or entity's intellectual property, publicity, privacy, or other rights.
4. You will not use any viruses, time bombs, cancelbots, trojan horses, worms, or other computer destructive programming routines intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.
5. There will be no violation of any law, rule, or regulation.

8. Domain Names

Our domain name(s) cannot be registered or used with any URLs and/or domain names by the Affiliate. The use of our names and trademarks is considered infringement of the DefenderShield® trademark. Affiliates cannot use, purchase, or otherwise exploit through third parties any of our marks or registered domain names, or any closely related domain names.

Affiliates are prohibited from using our trademarked terms, or misspellings thereof, as part of the domain or sub-domain for your website (e.g., defendershield.website.com or www.defendershield-coupons.com).

Affiliates who have obtained written approval to use DefenderShield® or DefenderPad® in a top-level domain must include an affiliate disclaimer in the site footer, for example:

"This website is independently owned by an affiliate marketer of DefenderShield®. It is not sponsored by DefenderShield® or DefenderPad®, which are registered trademarks of their respective owners."

9. Software Applications

The Affiliate cannot download software to users that alerts or otherwise redirects users. There will be no downloaded enabling software within connections associated with us, our website, or affiliate link. Examples of prohibited software include Browser Helper Objects (BHOs), downloadable reminder services, or any program codes that generate pop-ups or redirect the user.

10. Advertising & Publicity

In general, the Affiliate Program is not to be public knowledge. The Affiliate shall not create, publish, or distribute information about the Affiliate Program without prior written consent. If you intend to promote our Program in email-based campaigns, you agree to abide by the following:

1. All e-mails are reviewed by us before distribution and approvals are given in writing.
2. The e-mail is distributed by you and sent on your behalf with absolutely no reference to us.
3. The CAN-SPAM Act of 2003 (Public Law No. 108-187) as it relates to our Program.

11. Reversal & Communication Policy

We reserve the right to rectify transactions related to customer disputes, returns, order cancellations, duplicate tracking, and terms and condition violations.

When clarification is required on suspected violations, we expect your response to be timely, honest, and consistent with the following communications policy:

1. You will be expected to validate the source of your traffic with clear and discernible proof.
2. Affiliates will be truthful, clear, not intentionally vague, and forthcoming with information.
3. You will always be responsive within a reasonable time period and make available your contacts as specified in your Affiliate Program network profile.

If any of the communication policy points are not met, we reserve the absolute right to reverse orders and suspend commissions in the time period in question. Communication Policy violations are immediately deemed to be a material breach of this agreement and may result in termination from the DefenderShield® Affiliate Program.

12. Representations & Warranties

By participating in the Program, you represent and warrant that:

• You have the full legal right and authority to enter into this Agreement.
• Your promotional activities will comply with all applicable laws and regulations.
• You will not engage in any activity that could harm DefenderShield's reputation or brand.
• All content you create in connection with the Program is your original work or you have the necessary rights to use it.

13. Limitation of Liability

To the fullest extent permitted by applicable law, DefenderShield shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program, even if DefenderShield has been advised of the possibility of such damages.

DefenderShield's total liability to any affiliate under this Agreement shall not exceed the total commissions paid to that affiliate in the three (3) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless DefenderShield and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Program; (b) your violation of this Agreement; (c) your content or promotional activities; or (d) your violation of any third-party rights.

15. Term & Termination

This Agreement is effective upon your acceptance and continues until terminated. Either party may terminate this Agreement at any time, with or without cause, by providing written notice (email to the address on file is sufficient).

Upon termination:

• Your affiliate links and coupon codes will be deactivated.
• Commissions earned on valid, completed transactions prior to termination will be paid out in accordance with normal payment terms, subject to any outstanding disputes or violations.
• You must immediately remove all DefenderShield promotional content and cease use of brand assets.

16. Modifications

DefenderShield reserves the right to modify these Terms & Conditions at any time. Affiliates will be notified of material changes via the Shopify Collabs platform or by email. Continued participation in the Program after such notice constitutes acceptance of the updated terms.

17. Entire Agreement

This Agreement constitutes the entire agreement between DefenderShield and the affiliate with respect to the Program and supersedes all prior agreements, representations, and understandings. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
